This course will be of benefit to you if you do not regularly practise much company law or are moving into this field for the first time. It is pitched at a practical level for non-specialist practitioners. This course will not separately consolidate changes introduced by the Companies Act 2020 but simply refers to those changes as and when necessary. For a comprehensive guide to the new Act please refer to the Companies Act 2020 course.
Overview
Clients expect their solicitors to be able to advise immediately on issues such as whether or not to incorporate; what their responsibilities as directors are; what incorporation documents and other continuing documentation are needed and what their liabilities are if the company becomes insolvent.
This course looks at these issues and provides a refresher on the key elements of company law.
By the end of this course you will be able to:
- Advise on incorporation as a company or as a limited liability partnership
- Understand the rights, duties and liabilities of directors
- Identify the role of the company secretary
- Manage the issuing of shares and share capital generally
- Assess the issues involved in selling a business and bringing in outside investors
- Identify security documentation
- Describe the liabilities of directors to insolvent companies
